Terms of Service

These Terms of Service ("Terms") govern your access to and use of CompanyTracker (the "Service"), operated by Individual Entrepreneur Artem Lemeshev ("we", "us", the "Company"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

CompanyTracker is a software-as-a-service platform that connects to third-party tools you authorise (such as GitHub, GitLab, Jira, Slack, Notion and Confluence), reads data from them on a read-only basis, computes delivery metrics and risk signals, and provides an AI assistant that answers questions grounded in that data. We may add, change or remove features over time.

2. Accounts & eligibility

You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account and for your team members' use of your workspace. You must be at least 18 and able to enter into a binding contract, and you may only connect data and accounts you are authorised to use.

3. Plans, billing & payment

The Service offers a free tier and a paid subscription ("CompanyTracker paid plan"). Payments are processed by our reseller and merchant of record, Paddle (Paddle.com). By subscribing you also agree to Paddle's buyer terms. Subscriptions renew automatically at the end of each billing period until cancelled. Prices are shown at checkout and may include applicable taxes. We may change prices on a going-forward basis; changes do not affect the period you have already paid for.

4. Cancellation & refunds

You may cancel at any time from your billing page; cancellation stops future renewals and takes effect at the end of the current paid period. Refunds are handled as described in our Refund Policy, which forms part of these Terms.

5. Your data & third-party services

Data you connect or upload ("Your Data") remains yours. You grant us a limited licence to process Your Data solely to provide and improve the Service for you. Your use of connected third-party tools is governed by those tools' own terms; we are not responsible for them, and your access tokens can be revoked by you at any time, which stops the relevant data collection.

6. AI-generated output

The Service uses automated and AI techniques to summarise data and generate insights. Output may be incomplete or inaccurate and is provided for informational purposes only; you are responsible for verifying it before relying on it. AI output is not professional advice.

7. Acceptable use

You agree not to: misuse, disrupt or attempt to gain unauthorised access to the Service; reverse engineer or resell it except as permitted by law; upload unlawful content; or use it to violate the rights of others or any applicable law.

8. Intellectual property

The Service, including its software, design and content (excluding Your Data), is owned by the Company and its licensors and is protected by intellectual-property laws. We grant you a non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms.

9. Availability & changes

We aim to keep the Service available but do not guarantee uninterrupted operation. We may modify, suspend or discontinue all or part of the Service, and may update these Terms; material changes will be notified by reasonable means and continued use constitutes acceptance.

10. Disclaimers & limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. To the maximum extent permitted by law, the Company will not be liable for indirect, incidental or consequential damages, and our total liability for any claim is limited to the amount you paid for the Service in the 12 months preceding the claim.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or to comply with law. On termination your right to use the Service ends; provisions that by their nature should survive will survive.

12. Governing law

These Terms are governed by the laws of Ukraine, without regard to conflict-of-laws rules. Disputes will be subject to the competent courts of that jurisdiction.
